License Agreement

1. Software End-User License Agreement (EULA)

This exhaustive End-User License Agreement ("EULA") is a legal contract between you (either an individual or a single commercial entity) and SoDevX. This agreement governs your acquisition and use of our digital assets, UI kits, proprietary source code, 3D models, and pre-compiled software products ("Software"). By downloading, installing, or utilizing the Software, you explicitly agree to be bound by the exhaustive terms of this EULA.

2. Custom Client Projects (Exclusive Commercial License)

For bespoke engineering projects built specifically for your enterprise, SoDevX grants an extensive, but carefully defined, license upon the full clearance of all financial obligations:

  • Usage Rights: You are granted an exclusive, worldwide, perpetual license to use the final compiled product for its intended commercial purpose, including scaling to millions of users.
  • Source Code Access: If explicitly stated in your Master Services Agreement (MSA), you will receive access to the raw source code. You may modify this code internally to support your business operations.
  • Redistribution Prohibition: You may absolutely not resell, redistribute, sub-license, or white-label the custom source code, core architectural framework, or design systems to third parties. The code is licensed for your specific business entity, not for mass commercial redistribution as a template.
  • Attribution: Unless a white-label premium has been paid, SoDevX reserves the right to include a subtle "Engineered by SoDevX" attribution in the footer or console logs of the application.

3. Digital Assets & UI Kits (Standard and Extended Licenses)

For pre-built components, cinematic templates, and UI kits downloaded from the SoDevX marketplace, we issue distinct licensing tiers:

  • Standard License: Allows you to use the asset in one single end product which end users are not charged to access. Ideal for a personal portfolio or a single client website.
  • Extended License: Allows you to use the asset in a single end product which end users may be charged to access (e.g., a SaaS application).
  • Prohibited Actions (All Tiers): You may not extract our signature 3D particles, WebGL shaders, or raw CSS architectures and repackage them as standalone products, UI libraries, or competing templates.

4. Open Source and Third-Party Components

Our highly complex software architectures naturally rely on various open-source libraries. These components are strictly governed by their respective licenses (MIT, Apache 2.0, etc.). SoDevX claims no proprietary ownership over unmodified open-source modules. However, the specific architectural composition, integration patterns, and proprietary extensions built on top of these libraries remain the exclusive property of SoDevX.

5. Audit Rights & Telemetry

To protect our intellectual property, certain SoDevX enterprise products may contain encrypted telemetry modules designed to verify license keys and ensure compliance with deployment limits. You agree not to block, tamper with, or reverse-engineer these license verification mechanisms. SoDevX reserves the right to request a formal audit of your deployment footprint to ensure adherence to the agreed-upon EULA.

6. Termination of License

This license is effective until terminated. Your rights under this license will terminate immediately and automatically without any notice from SoDevX if you fail to comply with any of the terms and conditions of this EULA. Upon termination, you must cease all use of the Software and destroy all copies, full or partial, of the Software in your possession.

7. Disclaimer of Warranties

The Software is provided strictly "AS IS", without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and non-infringement. SoDevX does not warrant that the Software will meet your requirements, that the operation of the Software will be uninterrupted or error-free, or that defects in the Software will be corrected. You assume the entire risk as to the quality and performance of the Software.
